American Ocean Minerals Corp. announced Wednesday a definitive agreement to merge with Odyssey Marine Exploration, Inc. (OMEX) in an all-stock transaction. The combined entity, which will operate under the name American Ocean Minerals Corp. and trade on the Nasdaq under the ticker 'AOMC,' is valued at approximately $1 billion. The merger is designed to integrate AOMC's capital and asset base with Odyssey's established offshore operational expertise and public market infrastructure. This strategic alignment is intended to create a robust U.S.-controlled platform for the extraction of critical minerals from the deep sea, reducing reliance on foreign supply chains. To support the transition, the deal includes $150 million in private placement funding and $75 million in pre-public financing completed by AOMC. Following the merger and the planned divestiture of Odyssey's Mexican phosphate asset, PHOSAGMEX, the combined company expects to hold over $175 million in cash to fund its exploration initiatives.
