IFM Launches Unsolicited Bid to Acquire Atlas Arteria

Atlas Arteria Limited (ALX.AX), a specialist owner and operator of toll roads, revealed on Monday that it has received an unsolicited, off-market takeover proposal from IFM. The bid seeks to acquire all outstanding securities not currently held by IFM at a cash price of A$4.75 per security. The offer represents a 10% premium over the most recent closing price. Market reaction was immediate and positive, with shares climbing 13.39% to trade at A$4.91, effectively trading above the initial offer price as investors anticipate a potential bidding war or a higher final price. IFM has designated the proposal as its 'best and final' offer, noting that no prior communications took place before the delivery of the Bidder's Statement. However, the bidder has included a conditional incentive, stating it would lift the price to A$5.10 per security if its relevant interest in Atlas Arteria reaches 45% or more before the offer closes. In response to the bid, Atlas Arteria has urged shareholders to refrain from taking any immediate action. The company is currently establishing an Independent Board Committee to formally evaluate the merits of the proposal. To support the evaluation process, Atlas Arteria has appointed UBS and Flagstaff as financial advisers, while Mallesons has been retained as legal counsel for the transaction.
