Shell Expands North American Footprint with $16.4 Billion Acquisition of ARC Resources

Shell has entered into a definitive agreement to acquire Canadian energy producer ARC Resources in a transaction valued at $16.4 billion. The acquisition is designed to significantly scale the London-listed firm's oil and gas output, adding approximately 370,000 barrels of oil equivalent per day to its global portfolio. The deal centers on ARC Resources' strategic positions within the Montney shale basin, spanning British Columbia and Alberta. Shell CEO Wael Sawan highlighted the target's status as a low-cost, low-carbon intensity producer, noting that the assets will strengthen the company's resource base for several decades. Under the terms of the agreement, ARC Resources shareholders will receive 8.20 Canadian dollars (approximately $6.03) in cash and 0.40247 ordinary Shell shares for each share held. Shell expects the transaction to generate double-digit returns and provide a boost to free cash flow per share starting in 2027. This move reflects a broader trend among energy supermajors to double down on core hydrocarbon assets. While Shell's stock has risen roughly 20% year-to-date, it has trailed some of its primary industry competitors. The acquisition follows a period of disciplined M&A, including $2 billion in asset purchases during 2025 aimed at building long-term production.
